Terms and Conditions for Vendors Participating in NINJAXCHANGE, LLC Collectible Expo.
Payment: All fees associated with the vendor's participation in the expo must be paid in full by the deadline outlined in the invoice. Payments are non-refundable, and the NINJAXCHANGE, LLC reserves the right to cancel the vendor's participation if payment is not received by the deadline.
Booth Setup and Decor: The vendor is responsible for setting up and decorating their booth, including providing any necessary tables, chairs, signage, and display cases. All displays and signage must be professional in appearance. The vendor must ensure that their booth is set up and ready for business by opening on the day of the expo. Once the booth space is assigned, vendor is not permitted to move or alter their booth space without the approval of the NINJAXCHANGE, LLC.
Merchandise: Vendor must display only items that are appropriate for all ages and comply with local, state, and federal laws. NINJAXCHANGE, LLC reserves the right to prohibit the display or sale of any item deemed inappropriate or offensive.
Sales and Taxes: The Vendor is responsible for all sales made at their booth and for collecting and remitting any applicable sales taxes. NINJAXCHANGE, LLC is not responsible for any sales made by the vendor or for collecting or remitting any taxes on behalf of the vendor.
Business License and Permits: Please note that all vendors are solely responsible for obtaining the necessary business license and permits. NINJAXCHANGE, LLC will not be involved in the process of acquiring these licenses and permits. Furthermore, it is important to emphasize that vendors participating in the expo must obtain the business license from the City of Carlsbad, and not from the City of San Diego. It is the vendor's responsibility to ensure compliance with the regulations and requirements set forth by the City of Carlsbad to operate legally.
Insurance: The vendor is required to maintain appropriate insurance coverage for their participation in the expo. This includes, but is not limited to, general liability insurance, product liability insurance, and any other relevant coverage that may be necessary based on the nature of their business. NINJAXCHANGE, LLC will not provide insurance coverage for vendors. It is the vendor's sole responsibility to secure and maintain the appropriate insurance policies to protect themselves, their products, and their customers. This includes any necessary coverage for property damage, bodily injury, or other potential liabilities arising from their participation in the expo.
Conduct: Vendor must conduct themselves in a professional and courteous manner at all times. Vendor must comply with all event rules and regulations and cooperate with NINJAXCHANGE,LLC. NINJAXCHANGE, LLC reserves the right to remove any vendor from the expo for inappropriate behavior
Liability: Vendor is solely responsible for any loss, damage, or injury to their personnel or property. NINJAXCHANGE, LLC assumes no liability for any loss, damage, or injury to the vendor's personnel or property. The vendor must also indemnify NINJAXCHANGE, LLC from any claims or damages arising from the vendor's participation in the expo.
Termination: Either party, the vendor or NINJAXCHANGE, LLC, may terminate the participation to the expo at any time for any reason.
Amendments: NINJAXCHANGE, LLC reserves the right to modify or amend these terms and conditions at any time without prior notice.
